SOFTWARE LICENSE AGREEMENT
IMPORTANT - READ THIS AGREEMENT CAREFULLY

BY KEEPING THIS PACKAGE AND USING THE PROGRAM, YOU ARE ACCEPTING THE TERMS
AND CONDITIONS OF THIS LICENSE.  IF YOU DO NOT WISH TO ENTER INTO THIS
AGREEMENT, RETURN THE ENTIRE PACKAGE AND YOUR RECEIPT WITHIN THREE (3)
DAYS OF PURCHASE TO THE DEALER FOR A FULL REFUND.  THIS USER GUIDE AND
THE SOFTWARE PROGRAM THAT IT ACCOMPANIES AND DESCRIBES(THE PROGRAM) ARE
PROTECTED BY COPYRIGHT, TRADE SECRET AND TRADEMARK LAW.  BY ACCEPTING THIS
LICENSE, YOU HAVE THE RIGHT TO USE THEM, SUBJECT TO THE TERMS AND CONDITIONS
OF THIS LICENSE AGREEMENT.

Scope of License  

MPI hereby grants to you, the original purchaser, a paid-up, personal,
nonexclusive license to use the User Guide and the Program subject to the
terms and conditions of the Agreement..

a.  Single Computer  

You may use the Program on only one computer that you own or operate at a
single physical location.  You may transfer the Program from one such
computer to another that you own or operate provided that you do not use
or permit the usage of the Program on more than one computer or computer
terminal at a time.

b.  Copies  

You may not copy or duplicate the Program, except as necessary solely for
archival purposes, program error verification, or to replace defective
storage media, provided you keep the original and the copies.  You may not
alter, decompile or disassemble the Program.

c.  Transfers  

You may not sublicense, lease or rent or lend the Program or otherwise
transfer any of your rights under this Agreement.  You may transfer the
Program (together with any back-up copies you have made) on a permanent
basis so long as you retain no copies and the transferee agrees to be
bound by the terms of this Agreement.

d.  Term  

The license granted in this Agreement is effective until terminated.
You may terminate it at any time by destroying the Program, together with
all copies, or by returning them to MPI Products;  If you fail to comply
with any term or condition of this Agreement, this License will terminate
and, upon any such termination, you agree to destroy the Program, together
with all copies, or by returning them to MPI Products.  Termination of
this license shall be in addition to and not in lieu of any other remedies
available to MPI Products.

LIMITED WARRANTY, DISCLAIMER

MPI PRODUCTS Warrants that the media on which the Program is recorded are
free from defects in materials and workmanship under normal use for a
period of 90 days from the date of your original purchase.  Except for the
limited warranty described above, the program is sold "as is", and you are
assuming the entire risk as to its quality and performance.  It is your
responsibility to verify the results obtained from the use of the program.

LIMITATION OF REMEDIES

If during the 90-day limited warranty period, you discover physical defects
in the media on which the Program was recorded, MPI Products will replace
them at no charge to you, provided you return the item to be replaced with
proof of purchase to MPI Products.   THIS IS YOUR SOLE REMEDY.

IN NO EVENT WILL MPI PRODUCTS BE LIABLE TO ANY PERSON FOR ANY DIRECT,
INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR SIMILAR DAMAGES, EVEN IF
MPI PRODUCTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

State Law Rights  
Some states do not allow the exclusion or limitation of implied warranties
or of liability for incidental or consequential damages, so the above
limitation or exclusions may not apply to you.  This warranty gives you
specific legal rights and you may also have other rights that vary from
state to state.  In the event that any of the above limitation or
exclusions are held to be unenforceable, MPI Products total liability shall
not exceed the amount of the license fee, for the MPI, that you paid.
